How Long This NDA Lasts
This NDA has a five (5) year term beginning on the date you sign it. During those five years, you may not share, use, post, distribute, or disclose confidential Rhamnousia Studios project information except as specifically authorized by Rhamnousia Studios. If confidential information has not become public after the five-year period ends, it must still remain private until Rhamnousia Studios releases it or the information becomes public through an authorized source.
Article I: Project
Rhamnousia Studios is producing the film identified above (the “Project”). All information about the film and script, including concepts, ideas, materials, and information shared in written, oral, electronic, visual, or other form, is confidential and proprietary information (“Confidential Information”).
Article II: Non-Disclosure
You understand and agree that Confidential Information shared by Rhamnousia Studios may not be used or disclosed to another person, company, or third party except for authorized business relating to the Project or Rhamnousia Studios. You are responsible for protecting this information and may share it only with people who genuinely need it for authorized Project work. Anyone you are permitted to share it with must also follow the confidentiality requirements of this Agreement.
Article III: Term
You may not use or disclose Confidential Information for five (5) years from the date you sign this Agreement. Even after the five-year term ends, Confidential Information that has not become public must remain protected until Rhamnousia Studios releases it or it becomes public knowledge through an authorized source.
Article IV: Property Rights
This Agreement does not give you any ownership right, title, interest, or license in Rhamnousia Studios intellectual property or Confidential Information.
Article V: Unpaid Passion Project / No Guarantees
This Project is currently a passion project. Participation is unpaid unless payment, reimbursement, or other compensation is separately approved in writing by Rhamnousia Studios. This Agreement concerns confidentiality only and does not guarantee or promise casting, employment, payment, reimbursement, expenses, or future work. Any paid employment, compensation, reimbursement, or financial arrangement must be stated in a separate written agreement approved by Rhamnousia Studios.
Article VI: If This Agreement Is Broken
You understand and agree that using or disclosing Confidential Information in violation of this Agreement could cause Rhamnousia Studios damages, losses, costs, expenses, or irreparable harm. Rhamnousia Studios may seek any remedies available under the law, including injunctive or equitable relief, in addition to other legal remedies.
Article VII: Entire Agreement
This Agreement is the complete confidentiality agreement between you and Rhamnousia Studios for this Project and replaces prior agreements about the same confidentiality subject. It may be changed only in writing with the consent of both parties or their authorized representatives.
Article VIII: Severability
If a court decides that one part of this Agreement is invalid, unlawful, or unenforceable, the remaining parts will continue to apply.
Article IX: State Law That Applies
This Agreement is governed by the laws of North Carolina, without giving effect to its choice-of-law principles.
By signing below, you confirm that you have read and agreed to this Agreement. You intend your electronic signature to have the same force and effect as a handwritten signature, to the extent permitted by applicable law.
